PUBLIC CONTRACT (OFFER) for ordering, purchasing, selling, and delivering goods

This agreement between Sole Proprietor Kobylianskyi V.Yu. (hereinafter referred to as the “Seller”) and the user of the website services (hereinafter referred to as the “Customer”) is a commission agreement for the ordering, purchasing, and delivery of goods and defines the basic terms of ordering, purchasing, and delivering goods through the website https://www.detailing-center.com/. The Buyer, acting with the intention of purchasing the Goods, accepts the terms of this purchase and sale agreement (hereinafter referred to as the “Agreement”) under the following conditions:

1. DEFINITIONS

1.1. Public Offer (hereinafter – “Offer”) – a public proposal from the Seller, addressed to an indefinite number of persons, to conclude a purchase and sale agreement for the goods remotely (hereinafter – the “Agreement”) on the terms set out in this Offer, including all Attachments.

1.2. Order – the Customer’s decision to order the goods and request their delivery, executed on the website and/or an instruction to purchase and deliver goods.

2. GENERAL PROVISIONS

2.1. The information below is the official offer from the online store Detailing-Center.Com to any individual (hereinafter referred to as the “Buyer”) to enter into a purchase and sale agreement for goods. This agreement is public, meaning that according to Article 633 of the Civil Code of Ukraine, its terms are the same for all Buyers.

2.2. According to Article 642 of the Civil Code of Ukraine, the full and unconditional acceptance of the terms of this offer (which confirms the conclusion of the contract of sale under the terms stated below) is the fact of placing and confirming an order.

2.3. By placing an order, the Buyer confirms agreement with and unconditional acceptance of the terms of this offer.

2.4. By entering into the Agreement (i.e., accepting this Offer by placing an order), the Buyer confirms the following:

  • The Buyer is fully familiar with and agrees to the terms of this offer.
  • The Buyer consents to the collection, processing, and transfer of personal data under the conditions defined below in the Privacy Statement regarding the collection, processing, and transfer of personal data. The consent to process personal data is valid for the duration of the Agreement and for an indefinite period after its termination.
    In addition, by entering into the Agreement, the Customer confirms being informed (without additional notification) of the rights established by the Law of Ukraine “On the Protection of Personal Data”, the purpose of data collection, and that their personal data is transferred to the Seller for the purpose of fulfilling the terms of this Agreement, conducting settlements, and receiving invoices, acts, and other documents.
    The Customer also agrees that the Seller has the right to grant access to and transfer their personal data to third parties without any additional notifications, without changing the purpose of data processing. The scope of the Customer’s rights as a data subject under the Law of Ukraine “On the Protection of Personal Data” is known and understood by them.

3. PRODUCT PRICE

3.1. The price for each item is indicated on the website.

3.2. The Seller reserves the right to unilaterally change the price of any item.

3.3. In case of a price change for an ordered item, the Seller must inform the Buyer about the change.

3.4. The Buyer has the right to confirm or cancel the Order if the Seller changes the price after the Order has been placed.

3.5. The Seller is not allowed to change the price of a product already paid for by the Buyer.

3.6. The Seller indicates the delivery cost on the website or informs the Buyer during the order process through the Operator.

3.7. The Buyer’s obligation to pay for the product is considered fulfilled at the moment the Seller receives the funds.

3.8. Payments between the Seller and the Buyer are made using the methods specified on the website in the “Delivery and Payment” section.

4. ORDER PLACEMENT

4.1. The Buyer places an order either by calling the Operator at: (096) 202-02-32 or using the website https://detailing-center.com.

4.2. When registering on the website or placing an order, the Buyer must provide the following information:

  • Buyer’s full name or that of the recipient;
  • Address for delivery (or chosen delivery service and branch number);
  • Email address (optional);
  • Contact phone number.

4.3. The name, quantity, SKU, and price of the selected goods are listed in the Buyer’s cart on the website.

4.4. If additional information is needed, the Seller may request it from the Buyer. If the Buyer does not provide the requested information, the Seller is not responsible for ensuring quality service.

4.5. When placing an Order through the Operator, the Buyer must provide the information listed in section 4.2.

4.6. The Buyer accepts this Offer by entering the relevant data in the registration or order form on the website or when placing the Order through the Operator. After placing the Order via the Operator, the Buyer’s data is recorded in the Seller’s database.

4.7. The Buyer is responsible for the accuracy of the provided information.

4.8. The distance contract between the Seller and the Buyer is considered concluded from the moment the order is placed through the website or when the Seller issues a cash or sales receipt or another document confirming payment.

5. DELIVERY AND TRANSFER OF GOODS TO THE BUYER

5.1. Delivery methods, procedures, and timelines are listed in the “Delivery and Payment” section. The Buyer agrees on specific delivery conditions with the Operator when placing the Order.

5.2. Ownership and risk of accidental loss or damage to the goods transfer to the Customer or their Representative upon receipt and the signing of the delivery document and/or order/instruction form.

5.3. Delivery may be performed by the Seller’s staff or through third-party delivery services.

5.4. Upon receiving the goods, the Customer must inspect them in the presence of the courier representative to confirm compliance in quality and quantity (product name, quantity, completeness).

5.5. The Customer or their Representative confirms receipt and absence of claims regarding the quantity, appearance, and completeness of the goods by signing the delivery receipt and/or order.

6. RETURN OF GOODS

6.1. The Customer has the right to refuse the goods at any time before their transfer, and after the transfer of the goods – in accordance with the procedure and under the conditions specified by the Law of Ukraine “On Consumer Rights Protection”.

6.2. The return of goods of proper quality is possible if the product retains its commercial appearance, consumer properties, and the document confirming the purchase and the order details of the specified product is provided.

6.3. The Customer is not entitled to refuse goods of proper quality that have individually defined properties, if such goods can be used exclusively by the Consumer who purchased them (including non-standard sizes or other specifications requested by the Customer). Confirmation that the goods have individually defined properties includes deviations in the size or characteristics from those listed on the online store.

6.4. Return of goods, in cases provided by law and this Agreement, shall be carried out to the address specified on the website in the “Delivery and Payment” section.

6.5. If the Customer refuses goods of proper quality, the Seller shall refund the amount equal to the value of such goods, excluding the Seller’s expenses for the return shipping.

6.6. The refund specified in clause 6.5 shall be made within 7 business days after the store receives the returned goods.

7. LIABILITY OF THE PARTIES

7.1. The Seller shall not be liable for any damage caused to the Buyer due to improper use of the Goods previously ordered on the website https://www.detailing-center.com/ and purchased from the Seller.

7.2. The Seller shall not be liable for improper or untimely fulfillment of orders and obligations in case the Buyer provided inaccurate or incorrect information.

7.3. The Seller and the Buyer shall be responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.

7.4. The Seller or the Buyer shall be released from liability for full or partial failure to fulfill their obligations if such failure is the result of force majeure circumstances such as: war or military actions, earthquake, flood, fire, or other natural disasters that occurred beyond the will of the Seller and/or the Buyer after the conclusion of this agreement. The party unable to fulfill its obligations must immediately notify the other Party.
